Terms and Conditions

Welcome to Zilij X. These Terms and Conditions ("Terms") govern your use of our delivery and logistics services, website, and mobile application. By using our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

Zilij X is a Saudi company registered and operating under the laws of the Kingdom of Saudi Arabia. These Terms are subject to Saudi law and any applicable regulations issued by relevant authorities including the Ministry of Commerce, ZATCA, and the Communications, Space & Technology Commission (CST).

1. Definitions

• "Zilij X", "we", "us", or "our" refers to the company providing delivery services.
• "Merchant" refers to any business or individual that uses Zilij X services to deliver goods to customers.
• "Customer" refers to the end recipient of a delivery.
• "Shipment" refers to any parcel or package accepted by Zilij X for delivery.
• "COD" refers to Cash on Delivery payment collected on behalf of the Merchant.
• "Platform" refers to Zilij X website, mobile app, or API integrations.

2. Services Provided

Zilij X provides the following services:

• Last-mile delivery services within Saudi Arabia
• Pickup and delivery of parcels from merchants to customers
• Cash on delivery (COD) collection and weekly settlement
• Real-time shipment tracking
• API integration with e-commerce platforms including Zid and Salla
• Technical support in Arabic and English

Zilij X reserves the right to modify, suspend, or discontinue any service with reasonable notice to merchants.

3. Merchant Obligations

As a merchant using Zilij X services, you agree to:

• Provide accurate and complete shipment information including recipient name, address, and phone number
• Ensure all shipments are properly packaged and labeled before handover
• Not ship prohibited, illegal, or hazardous items (see Section 5)
• Maintain accurate contact details for communication
• Honor agreed pricing and payment terms
• Notify Zilij X of any special handling requirements before shipment pickup
• Comply with all applicable Saudi laws and regulations regarding commercial activities

4. Pricing and Payment

Delivery fees are determined based on the agreed price sheet between Zilij X and the merchant. Prices may be updated with 14 days written notice.

• COD Settlement: Collected cash on delivery amounts are settled to the merchant on a weekly basis, every Sunday, after deducting delivery fees
• Payment method: Bank transfer to the merchant's registered Saudi bank account
• Disputes: Any billing disputes must be raised within 7 days of receiving the settlement statement
• Late payment: Zilij X reserves the right to suspend service for overdue accounts

5. Prohibited Shipments

The following items are strictly prohibited from shipment through Zilij X:

• Weapons, ammunition, or explosive materials
• Narcotics, controlled substances, or illegal drugs
• Alcohol or any substance prohibited under Saudi law
• Counterfeit or pirated goods
• Live animals
• Perishable goods without prior written agreement
• Currency, gold, or precious metals without prior written agreement
• Any item prohibited by Saudi customs or regulations

Zilij X reserves the right to refuse, return, or report any prohibited shipment to the relevant authorities. The merchant bears full legal and financial responsibility for prohibited shipments.

6. Delivery Timelines and Attempts

• Zilij X will make up to 3 delivery attempts for each shipment
• After 3 failed attempts, the shipment will be returned to the merchant
• Estimated delivery times are provided as guidelines and are not guaranteed unless explicitly agreed in writing
• Zilij X is not liable for delays caused by incorrect addresses, customer unavailability, force majeure, or circumstances beyond our control
• Return shipping fees apply for returned shipments as per the agreed price sheet

7. Liability and Compensation

Zilij X takes responsibility for shipments from the point of pickup to delivery. Our liability is limited as follows:

• Lost shipments: Compensation up to the declared value of the shipment, not exceeding SAR 500 per shipment unless additional insurance is purchased
• Damaged shipments: Compensation for proven damage caused by Zilij X negligence, up to the declared value
• No liability for: Fragile items not declared, improper packaging by merchant, items prohibited under these Terms, or delays due to force majeure
• Claims must be submitted within 7 days of delivery or scheduled delivery date

8. Service Guarantee

Zilij X commits to:

• Responding to merchant support requests within 45 minutes during operating hours
• Providing real-time tracking updates for all shipments
• Assigning dedicated couriers in Riyadh and the Eastern Province
• Weekly COD settlement every Sunday

Failure to meet these commitments due to circumstances within our control entitles merchants to raise a formal complaint for review and appropriate resolution.

9. Intellectual Property

All content on the Zilij X platform including logos, trademarks, software, and text is the exclusive property of Zilij X. Merchants and users may not copy, reproduce, or use our intellectual property without written permission.

10. Confidentiality

Both parties agree to maintain confidentiality of any business information, pricing, or data shared during the course of the relationship. This obligation continues for 2 years after the termination of services.

11. Termination

• Either party may terminate the service relationship with 14 days written notice
• Zilij X may terminate immediately in cases of fraud, violation of these Terms, or prohibited shipments
• Upon termination, all outstanding COD amounts will be settled within 14 days
• Any pending shipments at the time of termination will be completed or returned as agreed

12. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms shall be resolved through:

• First, good-faith negotiation between the parties
• If unresolved, through the competent Saudi courts in Al Khobar, Eastern Province

The Arabic version of these Terms shall prevail in case of any conflict with translated versions.

13. Changes to These Terms

Zilij X reserves the right to update these Terms at any time. Merchants will be notified of significant changes via email or platform notification with at least 14 days notice before changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
